Subsequent Events | Subsequent Events On July 15, 2020, the Company provided PRCM Advisers with a notice of termination of the Management Agreement for “cause” on the basis of certain material breaches of the Management Agreement by PRCM Advisers, its agents and/or its assignees that are incapable of being cured within the time period set forth therein and certain events of gross negligence on the part of PRCM Advisers in the performance of its duties under the Management Agreement. The notice of termination specifies that the Management Agreement will terminate on August 14, 2020. No termination fee will be payable to PRCM Advisers in connection with the termination pursuant to Section 15(a) of the Management Agreement.
On July 21, 2020, the PRCM Advisers filed a complaint, or the Federal Complaint, against the Company in the United States District Court for the Southern District of New York. The Federal Complaint alleges, among other things, the misappropriation of trade secrets in violation of both the Defend Trade Secrets Act and New York common law, breach of contract, breach of the implied covenant of good faith and fair dealing, unfair competition and business practices, unjust enrichment, and conversion. The Federal Complaint seeks, among other things, an order enjoining the Company from hiring certain employees of Pine River, an order enjoining the Company from making any use of or disclosing Pine River’s trade secret, proprietary or confidential information, damages in an amount to be determined at a hearing and/or trial, disgorgement of the Company’s wrongfully obtained profits, and fees and costs incurred by PRCM Advisers in pursuing the action. The Company’s board of directors believes the Federal Complaint to be without merit and that the Company has fully complied with the terms of the management agreement.
Following the termination of the Management Agreement, the Company will become a self-managed company. The Company expects to continue to be managed by its current senior management team, along with the other personnel currently providing services to the Company.
Events subsequent to June 30, 2020 were evaluated through the date these condensed consolidated financial statements were issued and no other additional events were identified requiring further disclosure in these condensed consolidated financial statements.
